Biography
Leslie Marlow serves in an Of Counsel capacity with Lehman & Eilen and brings more than 25 years of experience in complex securities transactions, venture capital financings, mergers and acquisitions, bank financings and other general corporate matters. Leslie began her career as a corporate and securities lawyer at Rosenman & Colin, the predecessor to Katten Muchin Rosenman LLP, where she represented numerous Fortune 500 companies, such as Phillips Van–Heusen Corporation, for whom she was responsible for their day to day corporate needs, compliance with securities laws, their acquisitions, as well as their bank financings. In addition, she represented several issuers and underwriters engaged in public offerings, including Ladenburg Thalmann & Co. Inc. and The Stuart James Company. She also represented several issuers in their search for funds in private placements. In addition, Leslie was corporate counsel to Veeco Instruments Inc., a public company in the semiconductor industry. During her tenure at Veeco, Leslie was responsible for the preparation and negotiation of contracts used in Veeco’s daily operations, which included various corporate sales and purchase agreements, employment agreements, non-disclosure agreements, consulting agreements, joint venture agreements, credit agreements and other financing documents, distribution agreements and agreements regarding intellectual property rights. Leslie also was actively involved in the preparation of Veeco’s proxy statement and quarterly and annual securities reporting documents, such as 10K and 10Q reports.
